By downloading, installing, or using the KidDing App operated by Ayvid Pvt Ltd ("we", "our", or "us"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use the App. KidDing is currently operational in Bangalore, India, with plans for Pan-India expansion.

1. Platform as an Intermediary

KidDing operates strictly as a technology platform (an "Intermediary" under the Information Technology Act, 2000) that connects parents/guardians seeking activities for their children with independent third-party hosts ("Hosts"). KidDing does not directly provide these activities, nor do we employ the Hosts or their coaches.

2. User Accounts and Responsibilities

• Parents/Guardians: You must be at least 18 years old to create an account. You are solely responsible for the accuracy of the data provided, including your child's data. You confirm that you have the legal right to share your child’s details.
• Hosts: You represent and warrant that all business details, certifications, and coach biographies provided are accurate, active, and legally valid. You are solely responsible for the safety, quality, and legality of the activities you host.

3. Intellectual Property Rights

All content on the App, including but not limited to the KidDing logo, designs, text, graphics, software, and underlying source code, is the exclusive intellectual property of Ayvid Pvt Ltd and is protected by Indian and international copyright and trademark laws. You may not copy, modify, distribute, or reproduce any part of the App without our prior written consent.

User-Generated Content: By uploading profile pictures, reviews, or business details to the App, you grant Ayvid Pvt Ltd a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content to operate and promote the Platform.

4. Payments, Fees, and Refunds

• All transactions are processed through Razorpay.
• Ayvid Pvt Ltd reserves the right to charge a platform fee or commission on bookings, which will be displayed at checkout.
• Refunds/Cancellations: Refunds are governed by the specific cancellation policy set by the Host at the time of booking. Ayvid Pvt Ltd is not liable for refunds due to Host cancellations or User no-shows, but will facilitate dispute resolution where possible.

5. Disclaimers

THE APP AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. AYVID PVT LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF THE HOSTS' PROGRAMS. BACKGROUND CHECKS (IF ANY) ARE PRELIMINARY, AND PARENTS ARE ADVISED TO EXERCISE THEIR OWN DISCRETION AND DUE DILIGENCE BEFORE ENROLLING THEIR CHILDREN IN ANY ACTIVITY.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYVID PVT LTD, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO INJURIES, LOSS OF DATA, OR FINANCIAL LOSSES ARISING OUT OF YOUR USE OF THE APP OR ANY IN-PERSON ACTIVITIES BOOKED THROUGH THE APP.

7. Indemnification

You agree to indemnify, defend, and hold harmless Ayvid Pvt Ltd from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the App, or (for Hosts) any injury or damage occurring at your center or during your program.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or the App shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka, India.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via the App or email. Continued use of the App post-modification constitutes acceptance of the updated Terms.
